The terms address the mechanics of the commercial relationship: fees, payment and invoicing arrangements; late payment and invoice dispute handling; the minimum service period and what happens at its end; transition-in and disengagement services; subcontracting and assignment; risk, title and insurance; and third-party software and licensor terms that flow through from vendors.
Two areas deserve particular attention during evaluation. Reporting, review and audit rights are the clauses that evidence oversight of an outsourced arrangement — for an APRA-regulated entity, these are what demonstrate the arrangement supports its own obligations. Disengagement and data return determine what happens at the end of the relationship, and are considerably easier to negotiate at the start than at the finish.
